1. Scope and acceptance
KeySistemas is a family software development company founded in 1995 in San Martín, Mendoza, Argentina.
These terms govern the use of the keysistemas.com website and the information it publishes. If you browse the site, use the forms or subscribe to the blog, you accept them.
Contracted services (development, licences, implementation, support and maintenance) are governed by the proposal or contract signed with each client. In case of any difference, that agreement prevails over these terms. What you read on the site is general information, not a contractual offer.
2. What services we offer
The site presents these services:
- KeyGestión: full ERP for small and medium businesses, with ARCA electronic invoicing, stock, accounts receivable and payable, and offline operation.
- KeyRutas: fleet and freight transport management.
- KeyTienda: B2B e-commerce and field sales integrated with KeyGestión.
- KeyPedidos: order-taking app for sales reps on the road.
- KeyGas: cylinder traceability for medical gas distributors.
- KeyEmpaque: process control and batch traceability for the food industry.
- Custom development: adaptations, integrations and migrations on top of the systems above.
- Local technical support: on-site in San Martín, Mendoza, and remote.
The specific scope of each system, its modules and its availability are defined in the proposal we send you. We may stop offering or change any of these services; that does not affect agreements already signed.
3. Site and blog content
Blog posts and informational material on the site are general content about management and technology for small and medium businesses. They are not accounting, legal or tax advice. Before making a decision that depends on current regulations, check with your accountant or legal adviser.
We write the content with the information available at the time of publication. Argentine regulations change often and we do not revise older posts every time that happens.
4. Intellectual property
All site content (text, images, logos, design) and the software, source code and documentation developed by KeySistemas are protected by intellectual property law. You may quote or share blog content as long as you credit the source and link to the original post.
When contracting a system, the client obtains a non-exclusive licence to use it. Intellectual property remains with KeySistemas, unless otherwise agreed in writing.
5. User obligations
By using the site and our services, you agree to:
- Provide truthful, up-to-date information in the forms.
- Use the site and the systems in accordance with current legislation.
- Not reverse engineer the software we deliver.
- Keep your access credentials confidential.
- Meet the agreed payment deadlines.
- Take part in the development and testing stages of your system.
6. Payments and billing
The site does not publish prices. Payment conditions, deadlines and the price of each engagement are set out in the corresponding quote or contract, and invoicing follows current Argentine legislation.
Payments are made within the deadlines stated in that agreement. Failure to pay may lead to temporary suspension of the associated services.
7. Limitation of liability
We publish the information on this site as carefully as we can, but we are not liable for errors, outdated content or interruptions of the website service.
KeySistemas is not liable for indirect, incidental, special or consequential damages arising from the use of our services, including loss of profits, loss of data or business interruption. Our total liability does not exceed the amount the client paid over the last 12 months for the service that gave rise to the claim.
8. Support and maintenance
Technical support is provided on-site in San Martín, Mendoza, and also remotely, Monday to Friday from 9:00 to 18:00, Argentine time.
The scope of support, updates and response times depend on each client's maintenance agreement.
9. Service termination
Either party may terminate a service agreement with 30 days prior written notice. In case of material breach, it may be terminated immediately. Client data is kept for 90 days after termination so it can be retrieved.
10. Applicable law and jurisdiction
These terms are governed by the laws of the Argentine Republic. Any dispute will be settled before the ordinary courts of San Martín, Mendoza, waiving any other jurisdiction.
Personal data processing is governed by Argentine Act 25.326 on Personal Data Protection and by our Privacy policy, which forms part of these terms.
11. Modifications
We may change these terms when needed. The new version applies from the moment it is published on this page, with the date updated above. Signed agreements are not affected by a change to these terms.
